Marketplace Partner Terms & Conditions

These Marketplace Partner Terms & Conditions (“Partner Terms”) govern the relationship between BeAlok LLC (“BeAlok”) and the business entity or individual (“Partner”) who submits brand assets or products for inclusion on the BeAlok platform.

 

1. The Relationship

BeAlok provides a curated guide and gifting platform. By submitting your logo, brand assets, or product information to BeAlok via email, social media, or web form, you agree to these Partner Terms. These Terms do not create a legal partnership, joint venture, or employer-employee relationship.

 

2. Intellectual Property License

Grant of License: Partner grants BeAlok a non-exclusive, royalty-free, worldwide license to use, display, and reproduce Partner’s name, logo, trademarks, and product images (“Partner Assets”) on BeAlok’s website, digital guides, and social media channels.

Purpose: This license is granted solely for the purpose of promoting the Partner and creating curated gift guides or packages.

Ownership: Partner retains all ownership of their branding. BeAlok retains all ownership of the website, its curation, and its original content.

 

3. Participation Levels

Directory Partners (Logo-Only): For Partners whose engagement is limited to a logo listing and a website link, BeAlok provides this service "as-is." BeAlok is not responsible for the transaction, fulfillment, or customer service of any sales occurring on the Partner’s external site.

Package Partners: If Partner participates in a BeAlok "Gift Package" or "Curated Box," such participation is governed by a separate Marketplace Partner Agreement. In the event of any conflict between these general Partner Terms and the specific Marketplace Partner Agreement, the terms of the Marketplace Partner Agreement will govern.

 

4. Termination & Removal

For Directory Partners: Either party may terminate the listing at any time, with or without cause, via written notice (email is sufficient). BeAlok will use commercially reasonable efforts to remove Partner Assets from the website within five (5) business days of receipt of notice.

For Package Partners: Termination rights, notice periods, and fulfillment obligations are governed strictly by the Marketplace Partner Agreement signed by the Partner. Termination of a logo listing under these general terms does not automatically terminate the obligations set forth in a signed Marketplace Partner Agreement. BeAlok’s Right to Remove: BeAlok reserves the right to remove any Partner logo or link immediately and without notice if BeAlok determines, in its sole discretion, that the Partner’s branding or conduct is no longer a fit for the BeAlok platform vision.

 

5. Liability and Indemnification

No Warranty: BeAlok is not liable for any technical errors, downtime, or the specific placement of the Partner’s assets on the site.

Indemnification: Partner agrees to protect and hold BeAlok harmless against any third-party claims arising from (i) Partner’s trademark infringement, or (ii) defects or issues related to Partner’s products or services. Limitation of Liability: To the maximum extent permitted by law, BeAlok shall not be liable for any indirect, incidental, or consequential damages arising from the display of Partner Assets on the platform.

6. Governing Law

These Terms are governed by the laws of the State of Maryland. Any disputes arising from these Terms shall be resolved in the courts of Maryland.
